Representative Case Matters 

Counseled health care providers and suppliers, advising on structure and governance matters; joint ventures, ambulatory surgical centers, affiliations and contract matters; revenue enhancement and compensation structures; risk management; and fraud and abuse and HIPAA matters. 

Counseled health care industry clients on matters involving mergers and acquisitions; software agreements; physician referral rules; certificates of need, privacy, and security of health information; corporate documents; and compliance program elements. 

Served as lead counsel and coordinating legal counsel on a wide array of matters to mid-market healthcare companies including ambulatory surgery centers, skilled nursing facilities, and physician group practices 

Assisted behavioral health companies in strategically positioning themselves for health care reform and integration through diversification into physical health. 

Provided strategic business and operational guidance to medical practices, surgery centers, and skilled nursing facilities. 

Ongoing counsel to physician practices and hospitals in professional service arrangements, medical directorships and employment agreements. 

– Assisted in the formation and development of a large physician-owned freestanding multi-specialty outpatient surgical center. 

Drafted and negotiated the design, construction and consulting agreements for various hospital, outpatient, senior living and medical office facilities throughout the country. 

Negotiated documents that closed disputes involving electrical engineering and installation issues among others for the owner on a $40 million healthcare project. The disputes were favorably resolved for the client without having to engage in litigation. 

Served as counsel to a private medical research institute for development and regulatory approval of multiple medical technologies, including biomaterials, personalized medicine and anti-aging technologies.
