Representative Matters

  • Co-invented a patent-pending Equity Preservation UPREIT structure, employed to acquire several hotels.
  • Increased property performance demonstrating high market share capture compared to competitors.
  • Represented clients through company inception, acquisitions, and dispositions of $100m in assets to achieve projected investor returns.
  • Oversaw the implementation of a patent-pending acquisition structure, allowing hoteliers to become partners and preserve equity while properties stabilized after the pandemic spurred market uncertainties.
  • Acted as lead counsel to a lender in financing a nine-hotel portfolio in multiple Canadian provinces.
  • Acted as lead counsel to a lender in financing the acquisition of 16 hotels over two years by a Real Estate Investment Trust in several provinces across Canada.
  • Served as lead counsel for hotels regarding corporate governance and structure, trademarks, beer, and liquor licensing and compliance.
  • Advise clients on documenting, negotiating and closing real estate transactions for various property types, including residential, office, retail, industrial, vacant land, hotel-casino, restaurant, convenience store, and marijuana facilities. 
  • Counsel to landlords and tenants in leasing commercial property, including office, mixed-use, industrial, retail, hotels, casinos, convenience stores, restaurants, and marijuana facilities. 
  • Advised clients regarding corporate law matters for various hospitality entities, including entity selection, business formation, corporate governance, conversion, and mergers.
  • Facilitating negotiation, preparation, and closing of equity and asset purchase agreements for multiple business categories, including hotels.
