Gary represents various business and individual clients in the areas of corporate, real estate, estate planning, mergers and acquisition, and municipal law.  Gary regularly assists clients with business formations, stock and asset acquisitions, software and technology licensing, intellectual property protection, drafting and negotiating contracts of all varieties, and estate planning. He also assists municipalities with ordinance drafting, ordinance review and analysis, millage proposals, public meetings, zoning, resolutions, municipal improvements and other issues unique to municipalities.

Gary has presented seminars addressing various commercial and business issues, including business entity selection, contract formation, e-commerce, record retention, wage and hour compliance, and international arbitration.

Counsel and assist clients with the development of suitable estate plans specifically tailored to meet the clients’ needs and circumstances, including drafting durable and medical powers of attorney, wills, and trusts of various types, including joint revocable, credit shelter, irrevocable, special needs, and disclaimer trusts.

Represent small to mid-size companies with stock and asset acquisitions, redemptions, and mergers, including due diligence review and analysis, and negotiation and drafting of applicable deal documents.  

Counsel and assist clients in the formation of limited liability companies and corporations, including preparation of applicable documents such as operating agreements, bylaws, and buy and sell or shareholder agreements.

Assist clients with small to large commercial and multi-tenant real estate purchase and sale closings.

Assist health care provider clients in the formation, development, acquisition and sale of home health care and assisted living facilities.  

Draft and negotiate residential and commercial purchase agreements, land contracts, and leases.

Counsel and assist clients in the formation and governance of non-profit corporations, including filing for 501(c)(3) status.

Act as local Michigan counsel for companies involved in multi-state acquisition and finance transactions.  

Represent small to mid-size municipal clients with respect to matters unique to municipalities such as special use permits, resolution and ordinance drafting, ordinance review and analysis, zoning, FOIA compliance, millage proposals, and municipal improvements.

Work closely with City and Township managers and supervisors in addressing employment, code of conduct, and conflict of interest concerns.  

Represent municipal clients with formation of special assessment water districts and wind energy projects.
