Deborah L. Germany

Deborah Germany is a Member in the firm’s Detroit office. She maintains a multidisciplinary practice consisting of banking and finance, mergers and acquisitions, and corporate restructuring. Deborah is experienced in a variety of financing transactions and represents both borrower, banks, middle-market lenders, and non-bank lenders. She specializes in both asset based lending, cash flow lending and syndicated transactions. She advises clients in the structuring of financial covenant structuring, managing due diligence, documenting credit facilities and collecting on asset-based loans. Her clients and deals span all platforms, industries and asset types.

Deborah regularly advises companies concerning mergers and acquisitions transactions, joint ventures, strategic alliances, and minority business enterprises and women business enterprises. She manages the structuring, negotiations and deal flow of corporate deals across a variety of industries. Mrs. Germany also counsels private and not-for-profit corporations on the full range of governance issues, including governance structure and culture, fiduciary duties, risk oversight, conflicts of interest, board and committee structure, board leadership and governance “best practices.” She is a member of the State Bar of Michigan, the Wolverine Bar Association, the Detroit Metropolitan Bar Association, the Macomb County Bar Association, the Detroit Young Professionals, and the Detroit Economic Club – Young Leaders Section.

  • Represented a cannabis company in a series of transactions involving its large-scale cultivation and processing licenses.
  • Served as counsel to a major auto safety company in connection with a secured global credit facility.
  • Retained to assist a consulting firm in restructuring existing joint ventures to position them for Women’s Business Enterprise National Council certification. 
  • Provided support to a commercial construction company, advising clients through a significant corporate restructuring process. 
  • Assisted a dental healthcare company with a large acquisition of approximately 35 dental practices on the same day.
  • Represented a major solutions company in acquiring all of the equity of a major Irish multidisciplinary events experience agency. 
  • Served as counsel to a cybersecurity company in connection with its acquisition of the business and assets, a leading provider of content and conferences focused on the cybersecurity and technology sectors.
