Dickinson Wright is pleased to announce that Jason Powell has joined the firm’s Austin office as a Member.
Jason is a corporate and securities attorney, who advises real estate sponsors, investment managers, developers and start-ups, and established companies on structuring and executing complex business transactions. His practice focuses on real estate private equity, capital formation, joint ventures, mergers and acquisitions, corporate governance, and strategic financings across the United States. Jason regularly counsels clients on the formation and operation of real estate investment vehicles, including private equity funds, syndications, and joint ventures. He structures and negotiates private securities offerings, drafts offering and governance documents, and advises sponsors through all stages of the investment lifecycle – from formation and capital raising to acquisitions, asset management, recapitalizations, and exits.
In addition to his real estate capital markets practice, Jason advises entrepreneurs and established companies on corporate structuring, equity investments, debt financings, and strategic transactions. He frequently serves as outside general counsel to his clients, providing practical, business-oriented guidance that integrates legal strategy with operational and financial objectives.
Before returning to private practice, Jason served as general counsel to two corporations, giving him firsthand experience navigating risk management, capital allocation decisions, and transactional execution from the client’s perspective. Jason received his J.D. from the University of Montana School of Law and is licensed in Texas, Washington, Oregon and Idaho.
