Geoff has joined Dickinson Wright's Toronto office as partner, bringing over 25 years of exceptional corporate and securities law experience.  His practice has focused primarily on advising public companies, as both internal and external legal counsel, on all forms of financing and an extensive range of corporate transactions, as well as the disclosure and corporate governance requirements involved in being a public company. 

He works with clients on equity and debt financings (by private placement or prospectus), corporate governance, continuous disclosure filings, compliance matters relating to securities and corporate law, stock exchange listings including reverse takeovers, dealings with stock exchanges and securities commissions, corporate reorganizations including arrangements and restructurings, take-over bids, and independent committees.  

Prior to joining the firm, Geoff served for eight years as General Counsel to a publicly-traded gold mining company with stock exchange listings in both Toronto and New York.  In this role, Geoff gained extensive experience in compliance, corporate governance and internal management matters, and he worked closely as Corporate Secretary and advisor to the board and management.

Prominent Assignments

  • Acted as underwriter and sole bookrunner for an investment firm and was awarded $3,300,000 units of a healthcare technology company, pursuant to an offering under the listed issuer financing exemption. 
  • Represented the agents in a $5,000,000 offering of units, pursuant to an offering under the listed issuer financing exemption, and a concurrent brokered “best-efforts” prospectus exempt offering.
  • Represented a wealth management and capital markets firm who was sole lead agent and bookrunner in respect of a marketed public offering of senior unsecured convertible debenture units and concurrent private placement of debenture units.
  • Represented the sole agent and book runner in respect of a marketed public offering, which included the full exercise of the over-allotment option granted to the agent. 
  • Acted for a capital markets firm as underwriter and sole bookrunner, in respect of a $4,200,000 LIFE offering of units pursuant to the listed issuer financing exemption, and an exercised over-allotment option of $630,000 of units pursuant to the accredited investor exemption.
