Dilawar Ali Fazal

Ali focuses his practice on representing emerging growth companies, venture capital, and private equity investors in all sorts of private offerings, and M&A transactions across a broad range of sectors, including technology, healthcare, artificial intelligence, blockchain, energy, SaaS, and consumer goods.

Ali enjoys helping innovative companies adapt, thrive, and grow through all stages of their lifecycle. He frequently acts as outside general counsel to early and growth stage companies, advising clients on day to day legal and business matters, including pitch deck development, capital structure and business model development, capital raising, and growth and exit strategies, as well as other strategic and tactical considerations.

He is well versed and experienced in all common venture and growth stage financing structures, including pre seed and seed financings, SAFEs, convertible notes, priced preferred equity rounds, bridge loans, and financing related recapitalizations, and regularly advises clients on structuring, negotiating, and executing these transactions in line with market practice.

Prior to joining the firm, Ali worked with a venture capital law firm in New York City and has been representing clients in the New York ecosystem for most of his career, and is always looking to make value-added connections, and open his network of funds and investors to clients to assist in their capital raising.
