Dilawar Ali Fazal focuses his practice on representing emerging growth companies, venture capital, and private equity investors in equity and debt financings, and mergers and acquisitions transactions across a broad range of sectors, including technology, artificial intelligence, blockchain, SaaS, energy, healthcare, agriculture, and consumer goods.
Ali has experience with wide variety of financing transactions, including convertible securities, early stage financings to late stage financings. He advise his clients by reviewing, drafting and negotiating stock purchase agreements, certificate of incorporation, and other NVCA style financing documents. He also advises entrepreneurs and startup founders in entity selection and formation, establishing stock option plans and maintaining capitalization tables.
Prior to joining the firm, Ali was a corporate associate with a VC law firm in New York City. Ali holds a Masters in Law (LL.M) from Penn State Dickinson Law and Bachelor of Laws from Lahore University of Management Sciences (LUMS) and has completed an exchange program at University of Amsterdam. He is licensed to practice law in New York and Pakistan.
