PIPE Transactions

Private investments in public equity (PIPEs) have emerged as an alternative for issuers seeking to raise capital when more traditional private equity markets are not available. However, negotiations around these transactions move quickly and are subject to complicated trading and resale issues. Our corporate finance team works closely with other practices within the firm including, Securities, Mergers and Acquisitions, and Private Equity, to deliver personalized solutions to both public and privately-held companies regarding all aspects of PIPE transactions. Our work includes:

• Structuring, negotiating, and closing traditional and structured PIPE transactions.
• Obtaining exemptions from federal and state securities registration laws.
• Complying with federal securities and state blue sky laws.
