Outside general counsel to local government agency charged with compliance with the Nevada open meeting law and public records request law. In addition to monitoring and insuring compliance with laws applicable to all governmental agencies, also provides legal counsel on all matters as needed including, but not limited to, contract matters, collection of transient lodging tax, real property disposition, bonding matters and local government relations.
Represented owners of large industrial center in drafting and negotiating triple net leases with a wide variety of tenants. Approximately forty industrial leases for over 500,000 square feet of industrial space were successfully negotiated and executed.
Represented some of Northern Nevada’s largest homebuilders in all phases of real property development including drafting and negotiating purchase agreements for subject real property, obtaining acquisition financing as well as construction and take-out financing, assuring state regulatory compliance, assisting in resolution of complex title issues and drafting all necessary sales and title documents utilized for the sale and conveyance of residential units to ultimate purchasers.
Served as local counsel for developer of geothermal project in Eastern Nevada. Assisted in negotiation of equipment procurement and construction contract as well as related financing documents. Assisted in State and Bureau of Land Management permitting issues and negotiating and drafting of real property agreements with private land owners.
Represented a radiology group in forming a joint venture with regional hospital for the purpose of acquiring, owning and operating a positron demission tomography and computerized tomography imaging device.
Represented numerous purchasers in the acquisition of dental practices. Previous representation includes purchase from dentists intending to retire, as well as purchase from dentists desiring to phase into retirement and continue working in the practice on a limited basis. In all cases the scope of representation included the negotiation of the purchase documents, including provisions specific to the field of dentistry. In cases where the selling dentist desired to continue practicing on a limited basis, the representation also included the negotiation of appropriate employment documents governing the relationship on a going forward basis.
