  • Advising various U.S. legal issues and Michigan law including for U.S. subsidiaries and affiliates of Japanese companies (including but not limited to automotive suppliers) with a primary focus on:
    • Corporate (e.g., start-up/ formation; day-to-day corporate issues; transaction-related matters including joint ventures, mergers/acquisitions, corporate restructuring, dissolution). 
    • Employment (e.g.,  personnel policies, wage and hour, hiring, separation and employee health / benefit matters). 
    • Contract review / negotiation including supply contracts, purchase / sale terms, distribution agreements (including automotive supply relationships, among others). 
    • Immigration (e.g., matters related to expats from parent/affiliate companies). 
    • Legal compliance policies drafting and implementation (e.g., subsidiary  adoption / implementation of global compliance policy proposed by client’s Japanese parent company).
    • Coordinating with legal counsel (within Dickinson Wright and outside counsel) in relation to other states’ laws. 
  • Support firm representation of Japanese clients across various practice areas, including facilitating communication in relation to differences in legal and related practices and culture between Japan  and the U.S.
