Brian P. Bunner


Brian Bunner focuses his practice on tax, corporate law, and estate planning. Prior to joining the firm, Brian pursued a tax concentration in law school.  He has also spent time working at both a federal agency in Washington, D.C. and a Big Four accounting firm, gaining experience assisting clients with federal procurement, regulatory, and state and local tax issues.  

Brian’s background serves as an asset to the firm, enabling him to assist clients with a wide variety of complex tax issues and regulatory matters.

Provided tax specialist support on multiple complex cross-border cannabis company mergers and acquisitions

Substantial experience drafting documentation in connection with mergers and acquisitions, including Authorizing Resolutions, Operating Agreements, Bylaws, and organizational documents
Oversaw tax compliance in connection with several dental practice acquisition deals including drafting template F Reorganization documents based on the type of entities involved in each deal, researching state-specific tax issues unique to each deal, and provided guidance on reforming transaction structures accordingly.
Experience working with Private Equity mergers and acquisitions
Handled several complex IRS audits pertaining to the Captive Insurance industry 
Experience analyzing purchase agreements and refining tax provisions to meet the needs of clients and maintain tax compliance throughout transactions.
