Dickinson Wright LLP, Canada’s leading full-service business law firm specializing in cross-border counsel, is pleased to announce that corporate and securities lawyer Michael Smith has joined the firm as a Partner. He will be based in the firm’s Washington, D.C. and Toronto offices.
“I am so pleased to be joining Dickinson Wright’s cross-border practice,” said Michael Smith. “I was drawn to and was impressed by Dickinson Wright because it is one of the few American firms that has a significant cross-border practice in Canada. I’m eager to get settled in and start working with Dickinson Wright’s network of lawyers in U.S. and Canada.”
Mr. Smith is a New York attorney who advises on international capital markets, cross-border M&A, and unregistered fund formation. He regularly advises issuers and underwriters in public and private equity and debt offerings, including high-yield debt, sovereign debt, structured products, Rule 144A and Regulation S offerings, and offerings under the Canada-U.S. Multijurisdictional Disclosure System. He also counsels boards of directors and senior management on corporate governance matters. Mr. Smith is also a Canadian lawyer and an English solicitor who has practiced law with leading international law firms in Toronto, London and New York.
Mr. Smith is recognized in the United States as a Top Legal Achiever for his outstanding legal achievements and in Canada by Legal 500 for Corporate and M&A. He received his B.A. from the University of Toronto and his LL.B. from Queen’s University. Mr. Smith is currently the only U.S. attorney who is a member of the Ontario Securities Commission Exempt Market Advisory Committee, and he is formerly a board member of the Dean’s Council of the Faculty of Law at Queen’s University, the Salvation Army of Greater New York and the Canadian Association of New York.
“We are delighted to welcome Michael to our cross-border team,” said Mark Shapiro, managing partner of Dickinson Wright’s Toronto office. “Michael’s expertise in cross-border matters, his dedication to client service, and his passion for law makes him a perfect match for the team that we are building in Canada. We look forward to working with him as he helps us fortify our cross-border expertise in the areas of finance, M&A, and securities.”
