Dickinson Wright Attorney Honored with Outstanding Business Lawyer Award

Detroit, Mich. Dickinson Wright Member Verne C. Hampton II has been honored by the State Bar of Michigan's Business Law Section with the Stephen H. Schulman Outstanding Business Lawyer Award. The award, in its second year, honors business attorneys who best exemplify the goals established by the Section: demonstrating the highest quality of professionalism, fostering the highest quality of practice, facilitating service and commitment, and promoting ethical conduct and collegiality within the practice. Hampton is based in Dickinson Wright's Detroit office, where he focuses his practice on Corporate Law, Corporate Finance, Corporate Governance, Mergers and Acquisitions and Securities. In his 49 years with Dickinson Wright, he has provided counsel to a range of clients in the areas of SEC and Sarbanes-Oxley Act compliance, including the preparation and review of registration statements, proxy statements for mergers and annual meetings, tender offers, and SEC annual and quarterly reports. His experience includes providing legal services and counsel to companies on going-private transactions and associated issues; to various parties in mergers or acquisitions in the banking, real estate, automotive, and manufacturing industries; to issuers or underwriters in numerous registered public offerings; and to a bank in its initial organization and capitalization, organization of its holding company, and public offerings. He has also served as counsel to both issuers and target companies in tender offer transactions, and served as general counsel to various corporations. Hampton, who lives in Grosse Pointe Farms, holds a LL.B. degree from the University of Virginia and a B.A. degree from Michigan State University and Denison University. His professional and community involvement activities include serving as Chairman of the Business Law Section of the State Bar of Michigan, where he was instrumental in organizing the Section and drafting the Michigan Business Corporation Act, which is the basic business statute in the state. He also serves as Chairman of a State Bar of Michigan Attorney Disciplinary Board Panel and as an Arbitrator for the National Association of Securities Dealers. Hampton will receive the award at the Section's Annual Meeting this evening.
